Welcome to DataLens (operated by CipherSense AI Technologies Ltd.). These Terms of Use ("Terms") govern your access to and use of the DataLens applications and websites (datalens.africa and its subdomains), and related services and goods (collectively, the "Services").

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Changes of Terms

We reserve the right to modify or revise these Terms at any time, at our sole discretion. If we make material changes to these Terms, we will notify you by email, through our website, or by presenting you with a new set of Terms to accept. We also advise reviewing the Terms of Use page periodically. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the amended Terms.

D. Prohibited Conduct: You agree not to:

• * Use the Services in any way that violates any applicable national, state, local, or international law or regulation.
• * Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm DataLens or users of the Services or expose them to liability.
• * Use the Services to transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
• * Impersonate or attempt to impersonate DataLens, a DataLens employee, another user, or any other person or entity.
• * Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
• * Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• * Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

4. Intellectual Property Rights

A. DataLens Content: All content, features, and functionality on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of DataLens, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. Your Data: You retain ownership of any data, information, or material that you submit, post, or display on or through the Services ("Your Data"). By submitting Your Data, you grant DataLens a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Data in connection with operating and providing the Services. This license is solely for the purpose of enabling us to provide you with the Services and to improve our Services.

5. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. DataLens disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose. DataLens does not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that our Services or the server that makes it available are free of viruses or other harmful components, or that the Services will meet your needs or expectations.

6. Limitation of Liability

In no event shall DataLens, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, any websites linked to it, any content on the Services or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

7. Indemnification

You agree to defend, indemnify, and hold harmless DataLens, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Services.

8. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall first be subject to amicable settlement between the parties. If the dispute cannot be settled amicably within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004. We retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9. Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to delete your account.

10. Miscellaneous

A. Entire Agreement: These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and DataLens regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

B. Waiver and Severability: No waiver by DataLens of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DataLens to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

C. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without DataLens's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. DataLens may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
